FILING OF THE SLATES OF CANDIDATES FOR THE OFFICE OF DIRECTOR OF FINCANTIERI S.P.A.

Trieste, March 12, 2019 – FINCANTIERI S.p.A. (“Fincantieri” or the “Company”) announces that the following slates of candidates for the office of Director of the Company have been filed, pursuant to Article 19 of the By-laws:
- The slate submitted on 8 March 2019 by the shareholders Arca Fondi S.G.R. S.p.A. gestione dei fondi Arca Economia Reale Bilanciato Italia 30 and Arca Azioni Italia; Eurizon Capital SGR S.p.A. fund manager of Eurizon Progetto Italia 20, Eurizon Pir Italia 30, Eurizon Progetto Italia 70, Eurizon Azioni Italia, Eurizon PIR Italia Azioni, Eurizon Azioni PMI Italia and Eurizon Progetto Italia 40; Eurizon Capital SA - Eurizon Fund - Equity Small Mid Cap Italy and Eurizon Fund - Equity Italy; Fideuram Asset Management (Ireland) - Fonditalia Equity Italy; Fideuram Investimenti SGR S.p.A. fund manager of: Fideuram Italia, PIR Piano Azioni Italia, PIR Piano Bilanciato Italia 50 and PIR Piano Bilanciato Italia 30; Interfund Sicav - Interfund Equity Italy; Mediolanum Gestione Fondi SGR S.p.A. fund manager of: Mediolanum Flessibile Futuro Italia and Mediolanum Flessibile Sviluppo Italia and Mediolanum International Funds Limited - Challenge Funds - Challenge Italian Equity, owners of no. 22,754,462 ordinary shares representing 1.34848% of Fincantieri share capital, which includes the following candidates: Luca Errico, Elisabetta Oliveri, Danilo Vivarelli.
- The slate submitted on 11 March 2019 by the shareholder INARCASSA, owner of no. 31,301,462 ordinary shares representing 1.85% of Fincantieri share capital, which includes the following candidates: Paola Muratorio, Gianfranco Agostinetto, Giuseppe Ferri.
- The slate submitted on 11 March 2019 by the shareholder FINTECNA S.p.A., owner of no. 1,212,163,614 ordinary shares representing 71.636% of Fincantieri share capital, which includes the following candidates: Federica Seganti, Giampiero Massolo, Giuseppe Bono, Fabrizio Palermo, Massimiliano Cesare, Federica Santini, Barbara Alemanni.
The candidates Luca Errico, Elisabetta Oliveri, Danilo Vivarelli, Paola Muratorio, Gianfranco Agostinetto, Giuseppe Ferri, Federica Seganti, Massimiliano Cesare and Barbara Alemanni declared to satisfy the independence requirements set out by Article 147-ter, paragraph 4 and Article 148, paragraph 3, of the Legislative Decree 58/1998, as well as Article 3 of the Corporate Governance Code.
The slates, along with the documents including the information required by the By-laws and by applicable law, will be made available to the public in the ways and according to the terms laid down by the regulations in force.
