Fincantieri completes the payment of the variable component of the acquisition price of UAS

Fincantieri announces that it has completed the payment of the variable price component (earn-out) relating to the acquisition of Leonardo S.p.A.'s Underwater Armaments & Systems (“UAS”) business line.

 

As foreseen by the preliminary agreement signed with Leonardo on May 9, 2024, and in line with the terms disclosed on that date, the variable component was identified concerning the growth targets of the UAS business line in 2024. Following the approval of UAS’s financial results for the 2024 fiscal year, the growth targets have been exceeded in terms of EBITDA and orders, leading to the recognition of the maximum variable price, for a total Enterprise Value, including the fixed price component paid in January 2025, of 415 million euros, subject to standard price adjustment mechanisms.

 

The acquisition of the UAS business line represents a fundamental step in the Group’s strategy, focused on continued growth in the naval defense business and the development of the underwater domain, strengthening its position as a reference technological integrator in the dual-use field.
