CODE OF CONDUCT

Fincantieri operates within a framework of fair competition, with honesty, integrity, propriety and good faith, respecting the legitimate interests of shareholders, employees, customers, business and financial partners, as well as the communities and local areas where it conducts its activities.

In particular, it promotes Social Responsibility—understood as the integration of social and environmental concerns into its strategic vision—providing information on related actions in its periodic reports.

 

Everyone working at Fincantieri, without distinction or exception, is committed to observing and ensuring compliance with these principles within the scope of their functions and responsibilities. Under no circumstances can the belief of acting in the interest or to the advantage of the Company justify conduct that conflicts with these principles.

Given the complexity of the situations in which Fincantieri operates, it is important to clearly reaffirm the set of values that the Group recognizes, accepts and shares, as well as the responsibilities it assumes both internally and externally. For this reason, the Code of Conduct (“Code”) has been drawn up, and compliance with it by all those operating within the Company is fundamental to the proper functioning, reliability and reputation of the Group—factors that constitute a decisive asset for the success of the enterprise.

Employees, in addition to fulfilling their general duties of loyalty, fidelity, propriety, and performing their employment contract in good faith, must refrain from engaging in activities that compete with those of the Group, comply with company rules, and adhere to the provisions of this Code. Relationships among employees, at all levels, must be based on transparency, propriety, loyalty and mutual respect.

Directors and all those working in the Company are required to be familiar with the Code, actively contribute to its implementation, and report any shortcomings or violations.

Fincantieri is committed to facilitating and promoting awareness of the Code among employees and encouraging their constructive input regarding its contents. The Code is communicated to all parties with whom Fincantieri maintains business relations.

Fincantieri monitors compliance with the Code by providing appropriate tools for information, prevention, and control and ensuring transparency in operations and conduct. The responsibility for verifying the implementation and application of the Code of Conduct lies with the Board of Directors and Company Management, who may propose additions or amendments to its contents.

Any conduct contrary to the letter and spirit of the Code will be sanctioned in accordance with the provisions of the Code itself. The principles outlined in the Code of Conduct may be supported by specific directives, regulations or internal procedures designed to make its application more concrete and precise.

Compliance with laws, regulations, and the code of conduct

Fincantieri complies with the laws and regulations in force in each country or context in which it operates, in line with the principles, objectives, and commitments established in the Code.
Business activities and relationships

All actions and activities carried out or undertaken by Fincantieri must be legitimate, subject to verification, compliant with established rules, procedures, and regulations, and based on accurate and complete information. In its commercial, promotional, and industrial relations, the Company acts in accordance with ethical and legal standards.
Relationships with customers and suppliers

Fincantieri pursues fair and transparent relationships with customers and suppliers by offering competitive products and respecting the principles of fair competition. The selection of suppliers and the determination of purchasing conditions by Group companies must be based on an objective assessment of quality, price, and the ability to provide and guarantee adequate service levels.
Company assets

Each employee is required to safeguard and protect the assets and resources entrusted to them by the Company for the performance of their duties.
Human resources, safety, and environment

Fincantieri is committed to ensuring the professionalism of its employees as well as the safety and health of employees, external collaborators, customers, and the communities affected by its activities, while also reducing environmental impact.
Accuracy and verification in accounts and records

Fincantieri’s financial, accounting, and management records must be based on accurate, comprehensive, and verifiable information and must be consistent with the Company’s hierarchical and organizational structure.
Loyalty to the company and conflict of interest

Fincantieri maintains a relationship of trust and loyalty with each of its employees. Employees are required to demonstrate loyalty and fidelity by pursuing the Company’s interests and objectives. Employees must avoid any situation or activity that could lead to conflicts of interest or that might interfere with their ability to make impartial decisions in the best interests of the Company.
Confidential information

Information that must not be disclosed and is of a confidential nature, relating to knowledge or data belonging to the Company, must not be used, communicated, or revealed without specific authorization from the persons responsible for such information, knowledge, or data.
Relationship with public institutions

Contacts with public officials or government entities, the public administration, and Italian, EU, and foreign public institutions are limited to those who, with specific authorization, are assigned to deal with or have contact with such administrations, public officials, entities, organizations, and/or institutions.
Relationships with political and trade union organizations

Fincantieri manages relationships with political and trade union organizations exclusively on the basis of applicable laws, regulations, and agreements/contacts, ensuring the highest principles of transparency and fairness.
Relationships with the press and media

Information provided externally must be truthful and transparent.
Effects of violations
+
Violation of the Code of Conduct undermines the relationship of trust between the Company and the employee.
