Rome, 13 March 2015 – FINCANTIERI S.p.A. (“Fincantieri” or the “Company”), in line with the press release issued on 13 February 2015 , announces that Mr. Andrea Mangoni, already member of the Company’s Board of Directors since June 2013, undertakes his office as General Manager of the Company with effect from today.
Starting from the same date, Mr. Vitaliano Pappaianni and Mr. Enrico Buschi respectively cease from their office as Corporate General Manager and Operations General Manager of Fincantieri, while maintaining their current office as, respectively Chairman and Chief Executive Officer of SEAF S.p.A. and Chief Executive Officer of Fincantieri Oil & Gas S.p.A, both companies wholly controlled by Fincantieri.
In compliance with Article 6 of the Corporate Governance Code for listed companies, the termination of the aforementioned appointments of Mr. Pappaianni and Mr. Buschi did not result in giving nor conferring on their behalf any indemnities and/or other benefits.
Based on the disclosures made to the Company, Mr. Pappaianni and Mr. Buschi directly hold n. 10,000 and n. 4,000 ordinary shares of Fincantieri respectively, while Mr. Andrea Mangoni does not hold any ordinary shares of Fincantieri.

Curriculum Vitae – Andrea Mangoni
Born in Terni, Italy on 5 June 1963, he graduated in Business Studies in 1988. Since June 2013 he has been member of the Board of Directors and since March 2015 General Manager of FINCANTIERI S.p.A.
Since 2013 he has been independent member of the Board of Directors of Prelios S.p.A., while since July 2009 he has been an independent member of the Management Board and Investment Committee of Marguerite SGR, which manages the infrastructure fund of the European Investment Bank, as well as a Director of Amber Capital Italia SGR S.p.A. He is also the Chairman of the Board of Directors of Energia Italia S.p.A. and director of Tirreno Power S.p.A., and member of the Board of Directors of Sorint International B.V. (Den Haag) and Volterra S.A. (Athens).
He started his career working on restructuring projects in Brazil and Argentina for the Inter-American Development Bank (World Bank Group). From 1996 to 2003 in Acea S.p.A. he was in charge of Corporate Finance (coordinating activities related to the listing of the company) and Planning & Control activities, then Director of Strategic Planning and lastly Group Chief Financial Officer. After being appointed General Manager in 2003, from 2003 to 2009 he was Chief Executive Officer of Acea Electrabel S.p.A. From 2009 to 2012 he was Executive Chairman and Group Chief Financial Officer of Sparkle S.p.A., the company managing the international traffic and network of Telecom Italia. From 2012 to April 2013 he was General Manager, responsible for guiding and controlling the operations of TIM Brasil—of which he was also the CEO – and Telecom Argentina. From 2013 to 2015 he was Chairman and Chief Executive Officer of Sorgenia S.p.A.
Curriculum Vitae – Vitaliano Pappaianni
Born in Rome, Italy on January 27, 1951, he holds a degree in Statistics and Actuarial Science. Currently he is on the board of directors of Fincantieri Oil & Gas S.p.A. and he is Chairman and Chief Executive Officer of SEAF S.p.A.
He started his career in 1977 with Alitalia in the Central Division of Finance and Control, then moved to IRI as part of the Central Inspectorate. In October 1987 he moved to Finmeccanica, where he held various positions within the group including Head of Planning and Control for Finmeccanica S.p.A. and General Manager of Ansaldo Breda. In September 2008 he joined Fincantieri as Head of the Management System Directorate within the Merchant Ships Department. From 2010 to 2015 was General Manager of Fincantieri.
Curriculum Vitae – Enrico Buschi
Born in La Spezia, Italy on July 12, 1947, he graduated in Naval and Mechanical Engineering. Currently he is on the board of directors of Vard Group AS and he is Chief Executive Officer of Fincantieri Oil & Gas S.p.A. He started his career in 1974 in Italcantieri. From December 1988, he was Head of the Special Ships Product Line of the Merchant Construction Division of the Commercial Sector, from October 1990 Deputy Director of Head Office Commercial Coordination in General Management, from February 1992 Director of the Special Ships Product Line of the Merchant Construction Division, from January 1999 Deputy Director of Cruise Ships under the direction of Merchant Ships, from June 2000 Director of Cruise Ships from December 2005 Director of Merchant Ships. From July 2008 to 2015 was Chief Operating Officer of Fincantieri.
