Change in share capital notification

Following the press release issued on June 12, 2024, Fincantieri S.p.A. (“Fincantieri”) announces, pursuant to Article 85-bis of Consob Regulation 11971/1999, the new composition of the share capital (fully subscribed and paid-in) following the execution on June 17, 2024 of the reverse stock split of the existing 1,699,651,360 ordinary shares of Fincantieri into 169,965,136 newly issued ordinary shares of Fincantieri, having the same characteristics as the previously issued ordinary shares, at a ratio of 1 new ordinary share for every 10 existing ordinary shares.
