Fincantieri: disclosure regarding the purchase of treasury shares to service the incentive plan "Performance Share Plan 2022-2024", carried out in the period from 11 June 2026 to 12 June 2026. Conclusion of the related program.

FINCANTIERI S.p.A. (“Fincantieri” or the “Company”), pursuant to Article 2, paragraph 3, of Delegated Regulation (EU) 2016/1052, announces that, in the period between June 11 and June 12, 2026, it purchased on Euronext Milan, organised and managed by Borsa Italiana S.p.A., a total of 1.000.000 ordinary shares, equal to approximately 0,28% of the total number of shares issued. The shares were purchased at an average price of Euro 11,3579 per share, net of commissions, for a total consideration of Euro 11.357.936,78. The share buyback program (the “Program”), authorized by the Shareholders’ meeting held on May 14, 2026 and launched on June 10, 2026 has been concluded.

On the basis of the information provided by the intermediary executing the purchases (Intermonte Securities SIM S.p.A.), the following table summarizes, in aggregate form, the daily purchases carried out on Euronext Milan, organised and managed by Borsa Italiana S.p.A., during the period indicated above.

Since the beginning of the Program, Fincantieri has acquired no. 1.000.000 own shares (equal to 0,28%% of the total number of shares issued), for a total consideration of Euro 11.357.936,78. Considering the treasury shares already owned, Fincantieri holds, as of June 12, 2026, a total of no. 1.500.177 treasury shares, equal to 0,42% of the total number of shares issued.
