Following the acquisition of NextGeo Solutions Europe S.p.A., previously announced on July 6, Fincantieri has entered into the envisaged agreement with the shareholders representing NextGeo's Senior Management (the “Reinvesting Shareholders”).
Under the agreement, the Reinvesting Shareholders, who will reinvest more than 70% of their current holdings, will transfer to Fincantieri, upon closing, shareholdings representing an aggregate 4.13% stake in NextGeo. The parties have also agreed on a mechanism allowing these shareholders to gradually exit the company’s share capital following the approval of the financial statements for fiscal years 2027, 2028 and 2029, through a series of put and call options.
Pierroberto Folgiero, Chief Executive Officer and Managing Director of Fincantieri, stated: “We are building the first European platform capable of operating, connecting, protecting and governing the underwater domain through services, drones, sensors, communications, defense systems and strategic platforms.”
The transaction is part of Fincantieri’s broader strategy to create a global underwater champion, leveraging the integration of distinctive capabilities, technologies and services across the entire underwater value chain.
