NOTICE OF CHANGE IN SHARE CAPITAL. FILING OF THE STATEMENT PURSUANT TO ARTICLE 2444 OF THE ITALIAN CIVIL CODE

Following the press release dated 19 February 2026, Fincantieri S.p.A. (“Fincantieri” or the “Company”) hereby announces, pursuant to Article 85-bis of the Issuers’ Regulations adopted by CONSOB with Resolution no. 11971/1999, the new composition of the Company’s share capital, fully subscribed and paid-in, following the subscription and payment of no. 32,588,445 newly issued ordinary shares by executing the share capital increase with the exclusion of option right, pursuant to Article 2441, paragraph 4, second sentence, of the Italian Civil Code, resolved on 18 February 2026 by the Board of Directors of the Company, implementing the delegation granted to the latter, pursuant to Article 2443 of the Italian Civil Code, by the extraordinary shareholders’ meeting on 11 June 2024 (“Share Capital Increase”).

On 26 February 2026, the certification of completion of the Share Capital Increase pursuant to Article 2444 of the Italian Civil Code and the new version of the Fincantieri’s by-laws, updated with the new amount of the relevant share capital and shares, have been filed with the Companies Register of Venezia Giulia, which will be made available to the public in accordance with applicable law.
